Supplier means Hebei RIMO Metal Products (sole trader).
Customer means the person, firm or company placing an order.
Goods means the products supplied under any quotation or order.
Contract means the agreement formed between Supplier and Customer.
All quotations are invitations to treat and are not binding.
A contract is formed only when the Supplier confirms acceptance of an order in writing (including email).
These Terms and Conditions apply to all sales unless otherwise agreed in writing.
Quotations are valid for 30 days unless otherwise stated.
Orders must include full drawings, specifications, material grade, quantity and any critical features.
The Supplier manufactures strictly to the drawings and specifications supplied by the Customer.
The Supplier accepts no responsibility for design errors or omissions in Customer-supplied documentation.
Prices are as stated in the quotation.
Prices are exclusive of VAT (where applicable), freight, duties, customs clearance and insurance unless otherwise agreed.
The Supplier reserves the right to adjust pricing prior to acceptance of order where material or freight costs materially change.
Payment terms shall be as agreed in writing.
Where no terms are agreed, payment is due within 30 days of invoice date.
The Supplier reserves the right to require advance payment or staged payments for production orders.
Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
Lead times are estimates only and not guaranteed.
The Supplier shall not be liable for delays caused by material shortages, shipping delays, customs clearance or force majeure events.
Risk in the Goods passes to the Customer upon dispatch.
Title to the Goods shall not pass until full payment has been received.
The Customer must inspect Goods within 7 days of delivery.
Any claim for shortage, defect or non-conformance must be notified in writing within 7 days.
Failure to notify within this period shall constitute acceptance.
Goods are manufactured in accordance with agreed drawings and specifications.
Where samples are approved, production will match approved sample within standard manufacturing tolerances.
Inspection documentation may be provided where agreed prior to order.
The Supplier shall not be liable for indirect, special or consequential loss including loss of profit.
Total liability shall not exceed the value of the Goods supplied under the relevant contract.
Nothing in these terms limits liability for death or personal injury caused by negligence.
All drawings, specifications and documentation provided by the Customer remain the property of the Customer.
The Supplier shall treat Customer documentation as confidential.
The Supplier shall not be liable for failure or delay caused by events beyond reasonable control including natural disasters, war, labour disputes, transport interruption or governmental action.
These Terms and any Contract formed shall be governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the English courts.
If any provision is found unenforceable, the remaining provisions shall remain in effect.
No variation shall be valid unless agreed in writing.
